These Terms of Service ("Terms") form a legal agreement ("Agreement") between you ("User," "Customer") and SySyte ("Company," "we," "us"). By registering for, accessing, or using SySyte’s platform ("Services"), you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not access or use our Services.
3.1 Right to Use: Subject to these Terms, SySyte grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services. You are responsible for all activities that occur under your account. Account sharing is prohibited.

3.3 Changes to Services: SySyte reserves the right to modify, suspend, or discontinue features of the Services at any time. In the event of discontinuation, any prepaid fees may be eligible for a pro-rata refund.
4.1 Subscription & Billing: We offer multiple subscription plans (e.g., Lite, Plus, Pro) with fees billed on a monthly or annual basis. Payments are processed securely through third-party providers (e.g., Stripe).
4.2 Price Adjustments: Subscription fees may be adjusted annually. For annual plans, price adjustments will occur each April in accordance with the UK Retail Price Index (RPI) or an equivalent measure.
4.3 Late Payments & Non-Payment: If a payment is not received on time, we may suspend or terminate your account until the outstanding balance is settled.
5.1 User Cancellation: For monthly subscriptions, you may cancel at any time through your account settings; cancellation will take effect at the end of the current billing cycle. For annual subscriptions, please contact Customer Support at least 30 days before the renewal date. Otherwise, your subscription will automatically renew.

Your use of the Services is governed by our Privacy Policy, which details how we collect, use, and safeguard your personal data. By using the Services, you consent to our data practices as described therein.
You agree to indemnify, defend, and hold harmless SySyte, its affiliates, and their respective officers, directors, employees, and agents from any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from:
The Services are provided on an "as is" and "as available" basis without warranties of any kind. In no event shall SySyte be liable for any indirect, incidental, special, or consequential damages—including loss of profits, data, or business opportunities. Our maximum aggregate liability shall not exceed the fees paid by you in the last 12 months.
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or the Services shall be resolved through binding arbitration under the rules of the London Court of International Arbitration, except where you are eligible to bring a claim in small claims court.
SySyte shall not be liable for any failure to perform its obligations under these Terms due to causes beyond its reasonable control, including but not limited to natural disasters, acts of government, terrorism, or strikes.
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect.
These Terms constitute the entire agreement between you and SySyte regarding the Services and supersede all prior or contemporaneous understandings or agreements, whether written or oral. Failure by either party to enforce any provision of these Terms shall not be deemed a waiver of future enforcement of that or any other provision.
You may not assign or transfer your rights under these Terms without our prior written consent. SySyte reserves the right to assign or transfer these Terms without restriction.
Any notices or communications required or permitted under these Terms shall be given in writing and delivered via email to the addresses provided in your account or posted on the Services. Notices shall be deemed effective upon receipt.
Upgrades: Users may upgrade their subscription plan at any time by contacting SySyte. Any upgrade will require the commencement of a new contract term at the upgraded rate, effective immediately upon confirmation.
Downgrades: Users may only downgrade their license type or reduce the number of user seats by providing a minimum of 30 days' notice before the end of their current contract term. The downgrade will take effect at the end of the current term.
SySyte reserves the right to modify fees, subscription plans, or features of the Services at any time. Users will be notified of any significant changes, and continued use of the Services constitutes acceptance of such changes.
You agree to comply with all applicable export laws and regulations. You shall not, directly or indirectly, export or re-export any part of the Services in violation of such laws and regulations.
Some features of the Services may incorporate artificial intelligence (AI) to generate or assist in the creation of results, recommendations, or content ("AI-Generated Content"). While we strive for accuracy, AI-Generated Content is provided "as is" and may not always be correct, complete, or current. Users are advised to exercise caution when relying on AI-Generated Content for decision-making or business purposes. SySyte disclaims any liability for errors, inaccuracies, or misinterpretations that arise from the use of AI-Generated Content. Users should independently verify any critical information obtained through the Services.
Our Services are built on and rely upon third-party platforms and services, including Microsoft Azure. While we work diligently to ensure the reliability of our Services, the availability, performance, and uptime of any underlying third-party services (including Azure) are subject to the terms and service level agreements (SLAs) of those providers. SySyte shall not be liable for any downtime, interruptions, or service degradation resulting from issues with these third-party services. Users acknowledge and agree that any reliance on the availability of such third-party services is at their own risk.

These response times are targets only and may vary during periods of high demand or due to factors beyond our control. By using our Services, you acknowledge that these support response times are not guaranteed and that SySyte shall not be liable for any delays in support responses.
SySyte is committed to protecting the confidentiality and security of your data. While we implement robust security measures and adhere to industry standards, no system can be completely secure. You acknowledge that data transmissions over the internet or electronic storage are not infallible and that SySyte shall not be held liable for any breach of data security resulting from factors beyond our control.
If you provide any feedback or suggestions regarding our Services, you agree that such feedback becomes the exclusive property of SySyte. You hereby grant us a non-exclusive, worldwide, royalty-free license to use, modify, reproduce, and incorporate such feedback into our Services without any obligation to compensate you.
